What we provide, what you are responsible for, what happens when something breaks, and how either of us can walk away.
Summary
You pay monthly or yearly for access. Your data stays yours and you can export it whenever you want. The sealed ledger cannot be edited, by you or by us, which is exactly what makes it hold up in an audit. Either side can end the agreement, and we will always tell you before we suspend anything.
These terms govern the use of Fizzy. Where we have signed a separate written agreement with you, that agreement wins over anything said here. Fizzy is sold to businesses, not to consumers.
Parties and definitions
We, us, Fidanet means Fidanet Solution Oy, business ID 3497432-1, Marinkallio 6b, 02320 Espoo, Finland. You, the customer means the business that subscribes to Fizzy. The service means the Fizzy software, its interfaces, its APIs and the support that comes with your plan. Your data means everything you and your staff put into the service, and everything the service records from your sales.
The agreement
An agreement is formed when you accept an offer, sign an order, or start using the service under a plan. It consists of these terms, the plan you chose, the Data Processing Agreement, and the Acceptable Use Policy.
What we provide
- Access to the service for your outlets, counters and users, within the limits of your plan.
- The sealed ledger, VAT classification, reporting and the exports described on this site.
- Support at the level your plan includes. Every plan is answered within one business day; the differences between plans are described on the pricing page.
- Improvements and fixes as they ship. Material changes to ledger behaviour, VAT logic or exports are announced before they take effect.
What you are responsible for
- The accuracy of what you configure: your prices, your VAT categories, your outlets and your staff accounts. We help you set them, you own them.
- Keeping credentials secure, and closing accounts when staff leave.
- Your own compliance: registration, filing, and the judgements your accountant makes. Fizzy produces records and exports, it does not file on your behalf and it does not replace professional advice.
- Using the service within the Acceptable Use Policy, including by anyone you give access to.
Fees, invoicing and price changes
Subscription fees are stated in your plan or offer and are billed monthly or yearly in advance. Prices exclude VAT. Hardware is invoiced separately, as purchased. Payment processing charges are set by the payment provider under your agreement with them, and are not part of the subscription.
Late payment carries statutory interest. If an invoice stays unpaid after written reminder, we may suspend access, and we will tell you before we do. We may adjust prices with at least sixty days' written notice, effective at your next renewal, and you may terminate at that renewal if a new price does not suit you.
Term, renewal and termination
Monthly subscriptions renew monthly, yearly ones renew yearly, unless cancelled before the renewal date. Either party may terminate for material breach that stays uncured thirty days after written notice, and we may suspend immediately in cases of serious misuse, security risk, or non-payment after reminder.
On termination you may export your data, and we recommend you do it before the account closes. After the export window in your agreement, we delete your data, subject to anything we must retain by law.
Hardware
Hardware you buy from us is yours on delivery, once paid. It comes with the manufacturer's warranty. Payment terminals may additionally be governed by the terms of the payment provider or the terminal vendor. Hardware provided as part of a bundle remains ours until fully paid, and must be returned in working order if the agreement ends before that.
Your data, and ours
Your data belongs to you. We do not sell it, and we do not use it to train models for other customers. We process it to run the service, and we may use aggregated, anonymised statistics that identify neither you nor your customers to improve the product. Personal data is governed by the Privacy Policy and the DPA.
The service itself, including its software, design and documentation, remains ours. You get a non-exclusive, non-transferable right to use it for the term, and nothing more. Feedback you give us we may use freely.
The sealed ledger
The ledger is append-only by design. Neither you nor we can edit or delete a sealed entry, and corrections are appended instead. This is a deliberate limitation, it is what makes your records auditable, and it is not a defect. Requests to remove data are met to the extent that law permits without destroying a statutory record.
Availability and support
We aim to keep the service continuously available and we publish incidents on the status page while they happen. Planned maintenance is scheduled outside typical trading hours where possible and announced in advance. Fizzy is offline-first, so sales continue at the counter during a connectivity interruption and sync when it is restored. Specific availability commitments, where agreed, are set out in your written agreement.
Warranties and limitation of liability
We provide the service with professional care and skill. Beyond that, and to the extent the law allows, the service is provided as it is, without further warranties. We are not liable for indirect or consequential loss, lost profit, or loss caused by your own configuration, your own compliance decisions, or third-party services and networks outside our control. Our total liability in any twelve-month period is limited to the fees you paid us in that period. Nothing here limits liability for intent, gross negligence, or anything that cannot be limited under Finnish law.
Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the purposes of the agreement. This survives the agreement.
Changes to these terms
We may update these terms. Material changes are notified at least thirty days before they take effect, and if you do not accept them you may terminate at the end of your current period.
Governing law and disputes
Finnish law applies, without its conflict-of-law rules. We would rather solve a disagreement by talking. Failing that, the District Court of Espoo, Finland, has jurisdiction.
